I currently belong to such a "Members Only" group.  A specific  password is 
required to have any involvement with the web site, no biggie and OK  with me.  
(You oughta see the BS that flies back and forth because  of it being a 
priviledged site.  Worthless most of it is.)
 
More importantly, the maintenance of the membership list imposes quite a  
burden on the keeper of the membership list.  It becomes quite an  entanglement 
to keep it current.  I had the responsibility of keeping the  membership list 
for a group numbering about 50.  Renewal time was November  with February being 
the month of cleaning out those who didn't renew.  Then  along comes some of 
those who didn't renew on time, pay their dues, and expect  to immediately 
begin receiving the benefits.  Update the list, again.   During the year new 
members sign up and pay their dues.  Update the list,  again.  Adinfinitum.
 
My opinion is to communicate with members via hardcopy when proper,  
necessary, or scheduled.
 
Another point, on a private list there will be informations shared that  
non-members would benefit by and never see.
